Statute of the Association of MBA Organisations in Poland

STATUTE OF THE ASSOCIATION OF MBA ORGANISATIONS IN POLAND

Chapter 1

General provisions

§ 1.

1. The nationwide association of associations operating under the name Association of MBA Organisations in Poland, hereinafter referred to as the Association, brings together associations and other non-profit legal entities whose members are primarily, though not exclusively, graduates of Master of Business Administration studies conducted by universities and scientific institutions located in different cities of Poland.

2. In domestic relations the Association may use the designation MBA Polska, and in international relations MBA Poland.

3. The registered seat of the Association is Wroclaw.

4. The Association is a nationwide structure based on voluntariness, equality and openness. Joining the Association does not affect the independence of member organisations.

5. The Association represents only its members.

6. The Association operates within the territory of the Republic of Poland. To properly pursue its objectives, it may also operate outside Poland.

7. The Association may be a member of domestic and international organisations with similar statutory objectives.

Chapter 2

Objectives and forms of implementation

§ 2.

The objectives of the Association are:

1. integrating the members of all member organisations,

2. enabling mutual and direct exchange of experience and knowledge and developing cooperation on various levels,

3. developing and promoting initiatives and ideas of members concerning economic and social development,

4. enabling direct and permanent communication and contact between members,

5. supporting educational and training activities of member organisations in the area of economic development,

6. providing mutual support to members in conducting business initiatives,

7. advocating for the interests of non-governmental organisations in matters common to all member organisations,

8. acting for partnership cooperation between non-governmental organisations and public administration at all levels,

9. supporting the activity of member organisations,

10. representing member non-governmental organisations before the public sector and other communities,

11. establishing cooperation and exchanging experience with foreign partners.

§ 3.

The objectives set out in § 2 are implemented in particular by: creating conditions for exchange of experience and resources, collecting information on relations between non-governmental organisations and public administration, collecting information on access to financing, initiating actions to build a reliable image of the non-governmental sector, disseminating knowledge about the sector, organising training and conducting educational activities in the broad field of civic dialogue and social participation.

Chapter 3

Members, their rights and obligations

§ 4.

Members of the Association are divided into ordinary members, supporting members and honorary members.

§ 5.

1. An ordinary member may be an association or another non-profit legal entity which is not a public administration unit, trade union, political party, church, religious association or association of local government units, and whose members are primarily, though not exclusively, MBA graduates. Admission requires a written declaration, commitment to comply with the Statute and acceptance by resolution of the Board.

2. A member is represented at the General Meeting by a natural person elected by resolution of the management board of that member. One person may represent only one legal entity.

3. Each member indicates one natural person to the Board and to the Audit Committee of the Association.

§ 6.

Members have the right to participate in the work of the Association, use its support, submit motions and proposals, participate in meetings, benefit from information exchange and take part in projects carried out by the Association.

§ 7.

Members are obliged to comply with the Statute, implement resolutions of the authorities, act for the benefit of the Association, protect its good name and pay membership fees if such fees are established.

Chapter 4

Authorities of the Association

§ 8.

The authorities of the Association are the General Meeting, the Board and the Audit Committee.

§ 9.

The General Meeting is the highest authority of the Association. It adopts directions of activity, elects and dismisses members of the authorities, approves reports, grants discharge, adopts amendments to the Statute and decides on matters reserved for it by the Statute.

§ 10.

The Board manages the current activity of the Association, represents it externally, implements resolutions of the General Meeting, manages assets, prepares plans and reports, admits members and coordinates cooperation between member organisations.

§ 11.

The Audit Committee supervises the activity of the Association, reviews reports and may submit conclusions and recommendations to the General Meeting.

Chapter 5

Assets and finances

§ 12.

The assets of the Association may consist of membership fees, donations, grants, subsidies, income from statutory activity and other legally permitted sources.

§ 13.

The assets of the Association are used exclusively to implement statutory objectives and to cover costs connected with its activity.

Chapter 6

Amendment of the Statute and dissolution

§ 14.

Amendments to the Statute require a resolution of the General Meeting adopted in accordance with the rules set out in the Statute.

§ 15.

A resolution on dissolution of the Association determines the method of liquidation and the allocation of remaining assets.
